Terms of Service

1. Agreement to terms

By accessing quantaminds.com or submitting an inquiry through our contact form, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Services

QuantaMinds provides custom software development services including CRM systems, ERP platforms, e-commerce solutions, and bespoke web applications. The specific scope, deliverables, timeline, and pricing for any engagement are defined in a written Statement of Work (SOW) or Project Proposal agreed upon by both parties before work begins.

3. Proposals and quotes

Proposals generated through our website or delivered by email are valid for 30 days from the date of issue unless otherwise stated. Proposals are based on information provided at the time of inquiry. Material changes to project scope may require a revised proposal. A proposal does not constitute a binding contract until both parties have signed the SOW and the deposit has been received.

4. Payment

• A 50% deposit is required before project work begins.
• The remaining 50% is due upon project completion and delivery, unless the SOW specifies a different payment schedule.
• Invoices are due within 14 calendar days of issuance.
• Payments more than 14 days late may result in work being suspended until the balance is settled.

5. Intellectual property

Upon receipt of final payment, the client receives full ownership of all custom code and assets produced specifically for their project. QuantaMinds retains the right to use general techniques, methodologies, and non-proprietary know-how developed during the engagement.

Third-party libraries, frameworks, and tools incorporated into the project are subject to their respective open-source or commercial licenses. QuantaMinds will disclose any such dependencies in the project documentation.

6. Client responsibilities

The client agrees to:

• Provide accurate and complete project requirements in a timely manner.
• Designate a single point of contact for approvals and feedback.
• Review and respond to deliverables within 5 business days to avoid timeline delays.
• Provide access to any third-party systems, credentials, or content required to complete the project.

7. Scope changes

Changes to agreed project scope (“change requests”) must be submitted in writing. QuantaMinds will provide a revised estimate for any additional cost or timeline impact. Work on change requests begins only after written approval and, if applicable, additional payment has been confirmed.

8. Cancellation

Either party may terminate the project with 14 days' written notice. In the event of cancellation:

• The client is liable for work completed up to the cancellation date, calculated at an hourly rate consistent with the agreed project price.
• The initial deposit is non-refundable if work has commenced.
• QuantaMinds will deliver all completed deliverables upon receipt of final payment for work completed.

9. Limitation of liability

To the maximum extent permitted by law, QuantaMinds' total liability for any claim arising from these terms or the services provided shall not exceed the total fees paid by the client in the three months preceding the claim. QuantaMinds is not liable for indirect, incidental, or consequential damages.

10. Confidentiality

Both parties agree to keep confidential any proprietary information, business data, or trade secrets disclosed during the engagement and not to disclose them to third parties without prior written consent, except as required by law.

11. Website use

You may use this website for lawful purposes only. You agree not to submit false or misleading information through the contact form, attempt to disrupt or abuse our systems, or use automated tools to scrape or overload the website.

12. Governing law

These terms are governed by the laws of the State of North Carolina, United States. Any disputes shall be resolved in the courts of Buncombe County, NC, unless both parties agree to alternative dispute resolution.

13. Changes to these terms

We may update these terms from time to time. Material changes will be noted by updating the “Last updated” date at the top of this page. Continued use of our services after changes constitutes acceptance of the revised terms.
